Terms of Service

By accessing or using the Zynapt platform, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Zynapt AI LLC ("Zynapt," "we," "us," or "our"). By creating an account, subscribing to a plan, or using any feature of the Service, you represent that you are at least 18 years old and have the legal authority to enter into this agreement.

We may update these Terms at any time. We will notify you of material changes via email or a prominent notice on our platform. Continued use of the Service after such notice constitutes acceptance of the updated Terms.

Zynapt provides an AI-powered lead capture and response platform designed for real estate professionals. The Service includes, without limitation:

• Automated missed-call response via SMS and voice
• AI-driven lead qualification conversations
• Appointment scheduling and calendar synchronisation
• CRM integrations and lead management tools
• Analytics dashboards and performance reporting
• Web chat widget for property websites

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

To access the Service you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must immediately notify us at support@zynaptai.com of any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised, are being used fraudulently, or violate these Terms.

You may use the Service solely for lawful business purposes in connection with your real estate activities. You agree not to:

• Use the Service to send unsolicited commercial messages or spam
• Violate the Telephone Consumer Protection Act (TCPA) or any applicable telecommunications law
• Attempt to reverse-engineer, decompile, or disassemble any portion of the Service
• Access the Service through automated means except via our published API
• Resell, sublicense, or transfer your access to the Service without prior written consent
• Upload or transmit malicious code, viruses, or any material that interferes with the Service
• Use the Service to harass, abuse, or harm any individual
• Impersonate any person or entity or misrepresent your affiliation

Violation of these restrictions may result in immediate suspension or termination of your account and may expose you to civil or criminal liability.

The Service is offered on a subscription basis. By selecting a plan and providing payment information, you authorise us to charge your payment method on a recurring basis at the then-current subscription rate.

Free Trial. Where offered, free trials are available for new accounts only. At the end of the trial period, your selected plan will automatically activate and your payment method will be charged unless you cancel before the trial ends.

Annual Plans. Annual subscriptions are billed upfront for 12 months. Annual plans are non-refundable except as required by applicable law.

Price Changes. We reserve the right to change subscription prices. We will provide at least 30 days' advance notice before any price change takes effect for existing subscribers.

Taxes. Prices are exclusive of applicable taxes. You are responsible for all taxes associated with your subscription.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service through the end of the period you have paid for.

Monthly subscriptions are non-refundable after the current billing period begins. If you believe you have been charged in error, please contact support@zynaptai.com within 30 days of the charge.

We reserve the right to issue refunds or credits at our sole discretion. Refunds are not provided for unused portions of annual subscriptions except as required by applicable law.

The Service and all content, features, and functionality — including but not limited to software, AI models, text, graphics, logos, and interface designs — are the exclusive property of Zynapt AI LLC and its licensors, protected by United States and international intellectual property laws.

These Terms do not grant you any ownership interest in the Service. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely as permitted by these Terms.

Your Content. You retain ownership of all data, content, and information you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free licence to use, process, and store your User Content solely to provide and improve the Service.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

You acknowledge that the Service may process personal data of your leads and contacts on your behalf. In this capacity, you are the data controller and we act as a data processor. You are responsible for ensuring you have appropriate lawful basis to process such data and for complying with applicable data protection laws.

We maintain industry-standard security measures including AES-256 encryption at rest and TLS 1.3 in transit. Our Team plan is SOC 2 Type II certified.

The Service facilitates automated SMS and voice communications. You are solely responsible for ensuring that all messaging conducted through the Service complies with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all other applicable federal, state, and local telecommunications laws.

You represent and warrant that you have obtained all necessary consents from recipients before initiating automated calls or text messages through the Service. You agree to maintain records of such consents and to provide them to us upon request.

Zynapt provides built-in TCPA-compliant workflows as a convenience feature. However, compliance is your ultimate legal responsibility. Zynapt disclaims all liability arising from your failure to obtain proper consent.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. AI-GENERATED RESPONSES ARE PROVIDED FOR CONVENIENCE AND MAY NOT ALWAYS BE ACCURATE. YOU SHOULD REVIEW AI-GENERATED CONTENT BEFORE RELYING ON IT.

TO THE FULLEST EXTENT PERMITTED BY LAW, ZYNAPT'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO Zynapt IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

IN NO EVENT SHALL Zynapt BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

You agree to indemnify, defend, and hold harmless Zynapt AI LLC and its members, managers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your User Content; or (e) your interactions with any third party through the Service.

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the Service. We may terminate or suspend your access immediately, without prior notice, if we reasonably believe you have violated these Terms.

Upon termination: (a) your licence to use the Service ends immediately; (b) we may delete your account data after a 30-day retention period; (c) provisions that by their nature should survive (including IP rights, disclaimers, indemnification, and dispute resolution) shall survive termination.

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property disputes.

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. All disputes must be brought in your individual capacity.
